Companies Act 2006
The final provisions of the Companies Act 2006 come into force on 1 October 2009 and these changes affect every company operating in the United Kingdom.
The rules for a company’s internal regulation and management are currently contained in its Memorandum and Articles of Association. From 1 October, new Articles are replacing the old Memorandum and Articles of Association. In order to avoid any conflicts in the future we would recommend that these new Articles are adopted immediately.
Service addresses are also being introduced for directors from 1 October. This allows a director to lodge a service address with Companies House, which will be available on the public record instead of the residential address. A residential address must still be provided but will be kept confidential. For instance, our office address at Dalmar House can be used as a service address.
